1. Agreement to Terms

By accessing or using the services provided by Ultra AI, operated by 1381005 B.C. LTD. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.

2. Description of Services

Ultra AI provides custom artificial intelligence solutions, including but not limited to custom large language models (LLMs), image generation models, AI workflow automation, and related consulting services. All services are provided on a business-to-business basis.

3. Acceptable Use

You agree not to use our services for any unlawful or prohibited purpose. Specifically, you agree NOT to use our services to:

• Generate, distribute, or facilitate any illegal content or activities
• Create or distribute NSFW, pornographic, or sexually explicit content
• Generate content that promotes violence, hatred, or discrimination
• Create deepfakes or misleading content intended to deceive
• Infringe upon intellectual property rights of others
• Harass, abuse, or harm other individuals
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer, decompile, or extract our proprietary technology
• Use our services to build competing products or services

4. Intellectual Property

All intellectual property rights in our services, including but not limited to software, algorithms, models, and documentation, remain the exclusive property of 1381005 B.C. LTD. Custom models and solutions developed specifically for clients are subject to the terms of individual service agreements.

You retain ownership of your proprietary data used in training custom models, subject to necessary licenses granted to us to perform the requested services.

5. Data Privacy and Security

We take data privacy seriously. Your data is never shared with third parties without your explicit consent. For on-premise deployments, your data never leaves your infrastructure. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

6. Payment Terms

Payment terms are established in individual service agreements. All fees are non-refundable unless otherwise specified in writing. We reserve the right to suspend services for non-payment.

7. Limitation of Liability

To the maximum extent permitted by law, 1381005 B.C. LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amounts paid by you for the services in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements.

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of British Columbia.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
